Common use of Guarantee Matters Clause in Contracts

Guarantee Matters. The Lenders and the Issuing Lenders irrevocably authorize the Administrative Agent to effect any release of Guarantee Obligations contemplated by Section 10.17. Upon request by the Administrative Agent at any time, the Majority Lenders will confirm in writing the Administrative Agent’s authority to release any Guarantor from its obligations under the Guarantee Agreement pursuant to this Section 9.9.

Guarantee Matters. The Lenders and the Issuing Lenders irrevocably authorize the Administrative Agent Agent, at its option and in its discretion, to effect release any release Subsidiary Guarantor from its obligations under Article X hereof if such Person ceases to be a Subsidiary as a result of Guarantee Obligations contemplated by Section 10.17a transaction permitted hereunder. Upon request by the Administrative Agent at any time, the Majority Required Lenders will confirm in writing the Administrative Agent’s authority to release any Subsidiary Guarantor from its obligations under the Subsidiary Guarantee Agreement pursuant to this Section 9.99.09.

The Lenders and the Issuing Lenders Banks irrevocably authorize the Administrative Agent Agent, at its option and in its discretion to effect release any Guarantor from its obligations under the Guarantee if such Person ceases to be a Subsidiary as a result of a transaction that is permitted under the Loan Documents, including any release of Guarantee Obligations contemplated by required under Section 10.175.01(l)(iv). Upon request by the Administrative Agent at any time, the Majority Required Lenders will confirm in writing the Administrative Agent’s 's authority to release any Guarantor from its obligations under the Guarantee Agreement pursuant to this Section 9.97.10.
