Common use of Guarantor Acknowledgement Clause in Contracts

Guarantor Acknowledgement. By signing below, each Subsidiary which has executed a Guaranty (i) acknowledges, consents and agrees to the execution, delivery and performance by Borrower of this Fourth Amendment, (ii) acknowledges and agrees that its obligations in respect of its Guaranty are not released, diminished, waived, modified, impaired or affected in any manner by this Fourth Amendment or any of the provisions contemplated herein, (iii) ratifies and confirms its obligations under its Guaranty and (iv) acknowledges that it has no claims or offsets against, or defenses or counterclaims to, its Guaranty.

By signing below, each Subsidiary which has executed a Guaranty of the Guarantors ------------------------- (i) acknowledges, consents and agrees to the execution, execution and delivery and performance by Borrower of this Fourth First Amendment, (ii) acknowledges and agrees that its obligations in respect of its Subsidiary Guaranty are not released, diminished, waived, modified, impaired or affected in any manner by this Fourth First Amendment or any of the provisions contemplated herein, (iii) ratifies and confirms its obligations under its Guaranty Subsidiary Guaranty, and (iv) acknowledges and agrees that it has no claims or offsets against, or defenses or counterclaims to, its Subsidiary Guaranty.

By signing below, each Subsidiary which has executed a Guaranty of the Guarantors (i) acknowledges, consents and agrees to the execution, execution and delivery and performance by Borrower of this Fourth First Amendment, (ii) acknowledges and agrees that its obligations in respect of its Guaranty are not released, diminished, waived, modified, impaired or affected in any manner by this Fourth First Amendment or any of the provisions contemplated herein, (iii) ratifies and confirms its obligations under its Guaranty Guaranty, and (iv) acknowledges and agrees that it has no claims or offsets against, or defenses or counterclaims to, its Guaranty.
