A breach by any VFN Guarantor of any material representation, warranty or covenant set forth in the VFN Guaranty or any other Program Agreement, any “event of default” by any VFN Guarantor under the VFN Guaranty, any repudiation of the VFN Guaranty by any VFN Guarantor, or if the VFN Guaranty is not enforceable against any VFN Guarantor.
