Common use of Guarantor Liability Clause in Contracts

Guarantor Liability. (a) The Purchaser Guarantor’s aggregate liability in respect of any claim hereunder shall not exceed the Purchaser’s liability in respect of that claim. (b) The Purchaser Guarantors has no right to set off, deduct or withhold any moneys which it may be or become liable to pay under this Clause 14 (Purchaser Guarantee), against any moneys that the Vendor or any of its Affiliates may be, or may become, liable to pay to the Purchaser or any of its Affiliates whether under this Agreement or otherwise.

(b) The Purchaser Guarantors Guarantor has no right to set off, deduct or withhold any moneys which it may be or become liable to pay under this Clause 14 10 (Purchaser AAB Guarantee), against any moneys that the Vendor Purchaser or any of its Affiliates may be, or may become, liable to pay to the Purchaser Seller or any of its Affiliates whether under this Agreement or otherwise.

(b) The Purchaser Vendor Guarantors has no right to set off, deduct or withhold any moneys which it may be or become liable to pay under this Clause 14 15 (Purchaser Vendor Guarantee), against any moneys that the Vendor Purchaser or any of its Affiliates may be, or may become, liable to pay to the Purchaser Vendor or any of its Affiliates whether under this Agreement or otherwise.
