Common use of GUARANTOR’S ACKNOWLEDGMENT Clause in Contracts

GUARANTOR’S ACKNOWLEDGMENT. By signing below, each Guarantor (a) acknowledges, consents and agrees to the execution, delivery and performance by the Borrowers of this Amendment, (b) acknowledges and agrees that its obligations in respect of its Domestic Guaranty or Foreign Guaranty, as applicable, are not released, diminished, waived or modified, impaired or affected in any manner by this Amendment or any of the provisions contemplated herein, (c) ratifies and confirms its obligations under its Domestic Guaranty or Foreign Guaranty, as applicable, and (d) acknowledges and agrees that it has no claims or offsets against, or defenses or counterclaims to, its Domestic Guaranty or Foreign Guaranty, as applicable.

By signing below, each Domestic Guarantor and Foreign Guarantor (a) acknowledges, consents and agrees to the execution, delivery and performance by the Borrowers of this Amendment, (b) acknowledges and agrees that its obligations in respect of its Domestic Guaranty or Foreign Guaranty, as applicable, are not released, diminished, waived or modified, impaired or affected in any manner by this Amendment or any of the provisions contemplated herein, (c) ratifies and confirms its obligations under its Domestic Guaranty or Foreign Guaranty, as applicable, and (d) acknowledges and agrees that it has no claims or offsets against, or defenses or counterclaims to, its Domestic Guaranty or Foreign Guaranty, as applicable.

By signing below, each Guarantor (a) acknowledges, consents and agrees to the execution, delivery and performance by the Borrowers Borrower of this Amendment, (b) acknowledges and agrees that its obligations in respect of its Domestic Guaranty or Foreign Guaranty, as applicable, (i) are not released, diminished, waived or waived, modified, impaired or affected in any manner by this Amendment or any of the provisions contemplated hereinherein and (ii) cover the Aggregate Commitments as increased by this Amendment, (c) ratifies and confirms its obligations under its Domestic Guaranty or Foreign Guaranty, as applicable, and (d) acknowledges and agrees that it has no claims or offsets against, or defenses or counterclaims to, its Domestic Guaranty or Foreign Guaranty, as applicable.

GUARANTOR’S ACKNOWLEDGMENT. By signing below, each Guarantor (ai) acknowledges, consents and agrees to the execution, delivery and performance by the Borrowers Borrower of this Eighth Amendment, (bii) acknowledges and agrees that its obligations in respect of its Domestic Guaranty or Foreign Guaranty, as applicable, are not released, diminished, waived or modified, impaired or affected in any manner by this Eighth Amendment or any of the provisions contemplated herein, (ciii) ratifies and confirms its obligations under its Domestic Guaranty or Foreign Guaranty, as applicable, and (div) acknowledges and agrees that it has no claims or offsets against, or defenses or counterclaims to, its Domestic Guaranty or Foreign Guaranty, and (v) acknowledges and agrees that its Guaranty also covers the full amount of the Term Loans as applicableestablished by this Eighth Amendment.

GUARANTOR’S ACKNOWLEDGMENT. By signing below, each Guarantor (a) acknowledges, consents and agrees to the execution, delivery and performance by the Borrowers Borrower of this AmendmentAgreement, (b) acknowledges and agrees that its obligations in respect of its Domestic Guaranty or Foreign Guaranty, as applicable, (i) are not released, diminished, waived or waived, modified, impaired or affected in any manner by this Amendment Agreement or any of the provisions contemplated hereinherein and (ii) cover the Aggregate Revolving Commitment as increased by this Agreement, (c) ratifies and confirms its obligations under its Domestic Guaranty or Foreign Guaranty, as applicable, and (d) acknowledges and agrees that it has no claims or offsets against, or defenses or counterclaims to, its Domestic Guaranty or Foreign Guaranty, as applicable.

GUARANTOR’S ACKNOWLEDGMENT. By signing below, each (a) Guarantor (ai) acknowledges, consents and agrees to the execution, delivery and performance by the Borrowers of this Amendment, (bii) acknowledges and agrees that its obligations in respect of its Domestic Guaranty or Foreign Guaranty, as applicable, are not released, diminished, waived or modified, impaired or affected in any manner by this First Amendment or any of the provisions contemplated herein, (ciii) ratifies and confirms its obligations under its Domestic Guaranty or Foreign Guaranty, as applicable, and (div) acknowledges and agrees that it has no claims or offsets against, or defenses or counterclaims to, its Domestic Guaranty or Foreign Guaranty, and (b) Domestic Guarantor acknowledges and agrees that its Guaranty also covers the full amount of the Term Loans as applicableestablished by this Amendment.
