Common use of GUARANTOR’S ACKNOWLEDGMENT Clause in Contracts

GUARANTOR’S ACKNOWLEDGMENT. By signing below, each of the Guarantors (a) acknowledges, consents and agrees to the execution, delivery and performance by the Borrower of this Second Amendment, and (b) acknowledges and agrees that its obligations in respect of its Subsidiary Guaranty or any other Loan Documents executed by it are (i) not released, diminished, waived, modified, impaired or affected in any manner by this Second Amendment, (ii) hereby ratified and confirmed and (iii) not subject to any claims, offsets, defenses or counterclaims.

GUARANTOR’S ACKNOWLEDGMENT. By signing below, each of the Guarantors Guarantor (a) acknowledges, consents and agrees to the execution, delivery and performance by the Borrower of this Second Amendment, and (b) acknowledges and agrees that its obligations in respect of its Subsidiary Guaranty or any other Loan Documents executed by it are Agreement (i) are not released, diminished, waived, modified, impaired or affected in any manner by this Second AmendmentAmendment or any of the provisions contemplated herein, (iic) hereby ratified ratifies and confirmed confirms its obligations under its Guaranty Agreement, and (iiid) not subject to any claimsacknowledges and agrees that it has no claims or offsets against, offsets, or defenses or counterclaimscounterclaims to, its Guaranty Agreement.

By signing below, each of the Guarantors Guarantor (a) acknowledges, consents and agrees to the execution, delivery and performance by the Borrower and Limited of this Second Amendment, and (b) acknowledges and agrees that its obligations in respect of its Subsidiary Guaranty or any other Loan Documents executed by it are (i) are not released, diminished, waived, modified, impaired or affected in any manner by this Second AmendmentAmendment or any of the provisions contemplated herein, (iic) hereby ratified ratifies and confirmed confirms its obligations under its Guaranty, and (iiid) not subject to any claimsacknowledges and agrees that it has no claims or offsets against, offsets, or defenses or counterclaimscounterclaims to, its Guaranty.

GUARANTOR’S ACKNOWLEDGMENT. By signing below, each of the Guarantors -------------------------- (ai) acknowledges, consents and agrees to the execution, delivery and performance by the Borrower of this Second Amendment, and (bii) acknowledges and agrees that its obligations in respect of its Subsidiary Guaranty or any other Loan Documents executed by it are (i) not released, diminished, waived, modified, impaired or affected in any manner by this Second AmendmentAmendment or any of the provisions contemplated herein, (ii) hereby ratified and confirmed and (iii) not subject to any claimsratifies and confirms its obligations under its Subsidiary Guaranty and (iv) acknowledges and agrees that it has no claims or offsets against, offsets, or defenses or counterclaimscounterclaims to, its Subsidiary Guaranty.

GUARANTOR’S ACKNOWLEDGMENT. By signing below, each of the Guarantors (a) acknowledges, acknowledges and consents and agrees to the execution, delivery and performance by the Borrower of this Second Amendment, and (b) acknowledges and agrees that its obligations in respect of its Subsidiary Guaranty or any other Loan Documents executed by it are Agreement (i) are not released, diminished, waived, modified, impaired or affected in any manner by this Second Amendment, Amendment or any of the provisions contemplated herein and (ii) hereby ratified and confirmed cover the Commitment as increased hereby, and (iiic) not subject to any claimsacknowledges that it has no claims or offsets against, offsets, or defenses or counterclaimscounterclaims to, its Guaranty Agreement.
