Common use of Guarantors’ Incorporation Papers Clause in Contracts

Guarantors’ Incorporation Papers. There shall have been delivered to Agent (with sufficient copies for distribution to all Lenders), in form and substance satisfactory to Agent and its counsel, with respect to each Guarantor which has not previously delivered such documents to Agent, a copy of each such Guarantor’s certificate of incorporation or articles of association and by-laws or partnership agreement, as the case may be, certified by the Secretary or an Assistant Secretary of such Guarantor;

Guarantors’ Incorporation Papers. There shall have been delivered to Agent (with sufficient copies for distribution to all Lenders)Agent, in form and substance reasonably satisfactory to Agent and its counsel, with respect to each Guarantor which has not previously delivered such documents to Agent, a copy of each such Guarantor’s certificate of incorporation or articles of association and by-laws or partnership 57 agreement, as the case may be, certified by the Secretary or an Assistant Secretary of such Guarantor;
