Common use of Guarantors’ Incumbency Certificates Clause in Contracts

Guarantors’ Incumbency Certificates. There shall have been delivered to Agent (with sufficient copies for distribution to all Lenders), with respect to each Guarantor which has not previously delivered such documents to Agent, in form and substance satisfactory to Agent and its counsel, a certificate, signed by the Secretary or an Assistant Secretary of each Guarantor (or, with respect to a Guarantor which is a partnership, of such Guarantor’s general partner) and dated the Closing Date, as to the incumbency, and containing the specimen signature or signatures (not photocopied), of the person or persons authorized to execute and deliver the Collateral Documents to which it is a party on behalf of such Guarantor (or on behalf of such general partner for such Guarantor); 49
