Guarantor hereby agrees to cause RWT Holdings, Inc. to perform all of its duties and obligations as the Purchaser hereunder, guaranties the timely performance of such duties and obligations by RWT Holdings, Inc. and agrees to be jointly and severally liable to the Sellers for all such duties and obligations of RWT Holdings, Inc.
