Common use of Guest Ledger Clause in Contracts

Guest Ledger. At Closing, Seller shall receive a credit in an amount equal to: (i) all amounts charged to the Guest Ledger for all room nights up to (but not including) the night during which the Cut-Off Time occurs, and (ii) one-half (1/2) of all amounts charged to the Guest Ledger for the room night which includes the Cut-Off Time (other than any restaurant or bar charges for such room night, which are otherwise prorated under Section 10.1(i)), and Purchaser shall be entitled to retain all deposits made and amounts collected for such Guest Ledger.

Guest Ledger. At the applicable Closing, Seller shall Sellers will receive a credit in an amount equal to: (i) to all amounts charged to the Guest Ledger for all room nights up to (but not including) the night during which the Cut-Off Time occurs, and (ii) one-half (1/2) of all amounts charged to the Guest Ledger for the room night which includes the Cut-Off Time occurs (other than any restaurant or bar charges for such room night, on the Guest Ledger which are otherwise will be prorated under Section 10.1(i)in accordance with Appendix 8.1(b)(ii) below), and Purchaser shall will be entitled to retain all deposits made and amounts collected for with respect to such Guest Ledger. All room revenue for the night during which the Cut-Off Time occurs will be split equally between the applicable Seller and the Purchaser.

At Closing, Seller shall receive a credit in an amount equal to: (i) to all amounts charged to the Guest Ledger for all room nights up to (but not including) and including the night during which the Cut-Off Cut‑Off Time occurs, and (ii) one-half (1/2) of all amounts charged to the Guest Ledger for the room night which includes the Cut-Off Time (other than any restaurant or bar charges for such room night, which are otherwise prorated under Section 10.1(i)), and Purchaser shall be entitled to retain all deposits made and amounts collected for such Guest Ledger. 11.3.2.

At the Closing, Seller shall receive a credit in an amount equal to: (i) to all amounts (or 50% thereof in the case of the final night’s room revenue), less credit card charges, travel company charges and similar commissions, charged to the Guest Ledger for all room nights up to (but not including) and including the night during which the Cut-Off Time occurs, and (ii) one-half (1/2) of all amounts charged to the Guest Ledger for the room night which includes the Cut-Off Time (other than any restaurant or bar charges for such room night, which are otherwise prorated under Section 10.1(i)), occurs and Purchaser shall be entitled to retain all deposits made and amounts collected for such Guest Ledger.
