Common use of Guidance Note for 12 Clause in Contracts

Guidance Note for 12. 1: For any formal notices and communications, the parties should follow the requirements of clause 12.1 to ensure it is valid. A notice will be deemed to be received upon delivery, as set out in clause 12.1(b). While there are several ways to send notices, the most common approach (and the fastest) is via email. An email sent before 5pm on a Business Day in the place of receipt is deemed delivered at the time sent, unless an automated message is received that an email has not been delivered. There is no requirement to also post or hand deliver a copy of a notice once sent via email.
