Halozyme Clause Samples

Halozyme. (a) as of the Effective Date, exclusively owns all rights, title and interest in and to the Licensed IP Rights, (b) has the right to grant the licenses under the Licensed IP Rights pursuant to this Agreement, and (c) subject to Section 12.3, shall not assign, license or otherwise transfer the Licensed IP Rights to a Third Party to the extent such assignment, license, or transfer would impair the licenses and rights granted hereunder.
