HAP Tenant Based Voucher Assumption. Purchaser shall indemnify and hold the Seller and the Seller’s Indemnified Parties harmless from and against any and all claims, losses, damages, and expenses (including reasonable attorneys’ fees) that may be incurred by Seller and/or any of the Seller’s Indemnified Parties from and after the Closing Date, in connection with the HAP Tenant Based Voucher Assumption.
