Headings; Survival Clause Samples

The "Headings; Survival" clause serves two main purposes: it clarifies that section headings in the agreement are for convenience only and do not affect the interpretation of the contract, and it specifies which provisions will continue to apply after the contract ends. For example, confidentiality or indemnification obligations may be listed as surviving termination, meaning parties remain bound by them even after the agreement is otherwise concluded. This clause ensures that important obligations persist as intended and that headings do not create unintended legal meanings, thereby promoting clarity and continuity in the contract's enforcement.
