HMRC DT Treaty Passport Scheme. (i) If a UK Treaty Lender has confirmed its scheme reference number and its jurisdiction of tax residence in accordance with Section 3.5(e)(ii) above, the UK Borrower shall make a UK Borrower DTTP Filing and shall promptly deliver a copy of that filing to the relevant UK Treaty Lender. (ii) If a Lender has confirmed its scheme reference number and its jurisdiction of tax residence in accordance with Section 3.5(e)(ii) above and: (a) a UK Borrower making a payment to that Lender has not made a UK Borrower DTTP Filing in respect of that Lender, or (b) a UK Borrower making a payment to that Lender has made a UK Borrower DTTP Filing in respect of that Lender but: (1) that UK Borrower DTTP Filing has been rejected by HM Revenue & Customs, or (2) HM Revenue & Customs has not given the UK Borrower authority to make payments to that Lender without a deduction or withholding for or on account of Tax within 60 days of the date of the UK Borrower DTTP Filing, and in each of cases (a) and (b) (as applicable), the UK Borrower has notified that Lender in writing, that Lender and the UK Borrower shall, pursuant to Section 3.5(e)(i), co-operate in completing any additional procedural formalities necessary for that UK Borrower to obtain authorization to make that payment without a withholding or deduction for or on account of Tax. (iii) If a UK Treaty Lender has not confirmed its scheme reference number and jurisdiction of tax residence in accordance with Section 3.5(e) (ii) above, no UK Borrower shall make a UK Borrower DTTP Filing or file any other form relating to the HMRC DT Treaty Passport scheme in respect of that Xxxxxx’s Commitment or its participation in any Loan unless the UK Treaty Lender otherwise agrees. (i) Each Lender which is a Party to this Agreement on the Effective Date confirms, for the benefit of the Administrative Agent and without any liability to a Loan Party, that it is an Irish Qualifying Lender. Each Lender which becomes a Party after the Effective Date shall indicate, in the Assumption Agreement or Assignment and Assumption that it executes on becoming a party hereto, and for the benefit of the Administrative Agent and without any liability to a Loan Party, which of the following categories it falls in: (A) an Irish Qualifying Lender (other than an Irish Treaty Lender); (B) an Irish Treaty Lender; or (C) not an Irish Qualifying Lender. (ii) If a Lender fails to indicate its status in accordance with this paragraph (j) then such Lender shall be treated for the purposes of this Agreement (including by each Loan Party) as if it is not an Irish Qualifying Lender until such time as it notifies the Administrative Agent which category applies (and the Administrative Agent, upon receipt of such notification, shall inform the Loan Parties). For the avoidance of doubt, an Assumption Agreement or Assignment and Assumption shall not be invalidated by any failure of a Lender to comply with this paragraph (j). Each Lender shall promptly notify the Borrower and the Administrative Agent if there is any change in its position as an Irish Qualifying Lender.

HMRC DT Treaty Passport Scheme. (iA) If Subject to Section 2.09(i)(B) below, each Lender and each Account Party which makes a payment to such Lender shall cooperate in completing any procedural formalities necessary for such Account Party to obtain authorization to make such payment without a withholding or deduction for or on account of United Kingdom tax (“UK Tax Deduction”) including making and filing an appropriate application for relief under an applicable UK Treaty. (B) A UK Treaty Lender has confirmed that (x) holds a passport under the HMRC DT Treaty Passport scheme and (y) wishes such scheme to apply to this Agreement, shall confirm its scheme reference number and its jurisdiction of tax residence residence: (A) where the UK Treaty Lender is a Lender on the date of this Agreement, in Schedule VII; or (B) where the UK Treaty Lender becomes a Lender after the date of this Agreement, the Assignment and Assumption or the Supplemental Lender Agreement (as the case may be), and having done so, such Lender shall have satisfied its obligation under Section 2.09(i)(A) above, but for the avoidance of doubt that such Lender shall have an obligation to cooperate further with the relevant Account Party in accordance with Section 3.5(e)(ii) above, the UK Borrower shall make a UK Borrower DTTP Filing and shall promptly deliver a copy of that filing to the relevant UK Treaty Lender2.09(i)(C). (iiC) If a Lender has confirmed its scheme reference number and its jurisdiction of tax residence in accordance with Section 3.5(e)(ii2.09(i)(B) above and: and (a1) a UK Borrower an Account Party making a payment to that such Lender has not made a UK Borrower DTTP Filing in respect of that Lender, such Lender or (b2) a UK Borrower an Account Party making a payment to that such Lender has made a UK Borrower DTTP Filing in respect of that Lender but: (1) that such Lender, but either such UK Borrower DTTP Filing has been rejected by HM Revenue & Customs, HMRC or (2) HM Revenue & Customs HMRC has not given the UK Borrower such Account Party authority to make payments to that such Lender without a deduction or withholding for or on account of UK Tax Deduction within 60 days 30 Business Days of the date of the such UK Borrower DTTP Filing, and in each of cases (a) and (b) (as applicable), the UK Borrower relevant Account Party has notified that Lender in writingwriting thereof, that then such Lender and the UK Borrower shall, pursuant to Section 3.5(e)(i), such Account Party shall co-operate in completing any additional procedural formalities necessary for that UK Borrower such Account Party to obtain authorization to make that payment without a withholding or deduction for or on account of Tax. (iii) If a UK Treaty Lender Tax Deduction; provided that if an Account Party has not confirmed its scheme reference number and jurisdiction of tax residence in accordance with Section 3.5(e) (ii) above, no UK Borrower shall failed to make a UK Borrower DTTP Filing or and such Account Party is at the relevant time permitted in accordance with HMRC published practice to file any other form relating to the a HMRC DT Treaty Passport scheme Form DTTP2 in respect of that Xxxxxx’s Commitment or its participation in any Loan unless such Lender, the Account Party shall first make such filing to obtain authorisation to make a payment to the Lender without a UK Treaty Lender otherwise agreesTax Deduction prior to requesting the Lender's co-operation under this Section 2.09(i)(C). (iD) Each Account Party shall, promptly on making a UK Borrower DTTP Filing, deliver a copy of such UK Borrower DTTP Filing to the Administrative Agent for delivery to the relevant Lender. (E) Each Lender which is a Party to this Agreement on the Effective Date confirmsshall indicate, for the benefit of the Administrative Agent and any relevant Account Party, but without any liability to a Loan any Account Party, that whether it is an Irish is: (1) not a UK Qualifying Lender. Each Lender which becomes ; (2) a Party after the Effective Date shall indicate, in the Assumption Agreement or Assignment and Assumption that it executes on becoming a party hereto, and for the benefit of the Administrative Agent and without any liability to a Loan Party, which of the following categories it falls in: (A) an Irish UK Qualifying Lender (other than an Irish that is not a UK Treaty Lender); or (B3) an Irish a UK Treaty Lender, in (x) where the Lender is a Lender on the date of this Agreement, Schedule VII to this Agreement; or (Cy) not an Irish Qualifying Lender. where the Lender becomes a Lender after the date of this Agreement, the Assignment and Assumption or the Supplemental Lender Agreement (ii) as the case may be). If a Lender fails to indicate its status in accordance with this paragraph (jSection 2.09(i) then such Lender shall be treated for the purposes of this Agreement (including by each Loan Account Party) as if it is not an Irish a UK Qualifying Lender until such time as it notifies the Administrative Agent which category applies (XL Group and the Administrative Agent, upon receipt of such notification, shall inform the Loan Parties). For the avoidance of doubt, an Assumption Agreement or Assignment and Assumption and a Supplemental Lender Agreement shall not be invalidated by any failure of a Lender to comply with this paragraph (jSection 2.09(i). Each Any Lender that ceases to be a UK Qualifying Lender shall promptly notify the Borrower and the Administrative Agent if there is any change in its position as an Irish Qualifying Lenderand XL Group.

HMRC DT Treaty Passport Scheme. (i) If a UK Treaty Lender has confirmed its scheme reference number and its jurisdiction of tax residence in accordance with Section 3.5(e)(ii) above, the UK Borrower shall make a UK Borrower DTTP Filing and shall promptly deliver a copy of that filing to the relevant UK Treaty Lender. (ii) If a Lender has confirmed its scheme reference number and its jurisdiction of tax residence in accordance with Section 3.5(e)(ii) above and: (a) a UK Borrower making a payment to that Lender has not made a UK Borrower DTTP Filing in respect of that Lender, or (b) a UK Borrower making a payment to that Lender has made a UK Borrower DTTP Filing in respect of that Lender but: (1) that UK Borrower DTTP Filing has been rejected by HM Revenue & Customs, or (2) HM Revenue & Customs has not given the UK Borrower authority to make payments to that Lender without a deduction or withholding for or on account of Tax within 60 days of the date of the UK Borrower DTTP Filing, and in each of cases (a) and (b) (as applicable), the UK Borrower has notified that Lender in writing, that Lender and the UK Borrower shall, pursuant to Section 3.5(e)(i), co-operate in completing any additional procedural formalities necessary for that UK Borrower to obtain authorization to make that payment without a withholding or deduction for or on account of Tax. (iii) If a UK Treaty Lender has not confirmed its scheme reference number and jurisdiction of tax residence in accordance with Section 3.5(e) (ii3.5(e)(ii) above, no UK Borrower shall make a UK Borrower DTTP Filing or file any other form relating to the HMRC DT Treaty Passport scheme in respect of that Xxxxxx’s Lender's Commitment or its participation in any Loan unless the UK Treaty Lender otherwise agrees. (i) Each Lender which is a Party to this Agreement on at the Second Amendment Effective Date confirms, for the benefit of the Administrative Agent and without any liability to a Loan Party, that it is an Irish Qualifying Lender. Each Lender which becomes a Party after the Second Amendment Effective Date shall indicate, in the Assumption Agreement or Assignment and Assumption that it executes on becoming a party hereto, and for the benefit of the Administrative Agent and without any liability to a Loan Party, which of the following categories it falls in: (A) an Irish Qualifying Lender (other than an Irish Treaty Lender); Lender); (B) an Irish Treaty Lender; Lender; or (C) not an Irish Qualifying Lender.
