Hold Confidential. Except for disclosures expressly permitted by the terms of this Agreement, Parent shall hold, and shall cause its accountants, counsel, financial advisors and other Representatives to hold, all information received from the Company, directly or indirectly, in confidence and not make any public disclosure thereof; provided, that the foregoing shall not prevent Parent from disclosing such information (i) to the extent required by applicable Law or by a Governmental Entity (including, inter alia, in any Schedule 13D or 13E-3 filing that Parent is required to make), and (ii) to the extent such information is or becomes generally available to the public other than by disclosure by Parent or any Affiliate or Representative of Parent.
Hold Confidential. The Agency, its directors, officers, employees, agents and volunteers, will hold confidential and will not disclose or release to any person other than the City at any time during or following the Term, except where required by law, any information or document that tends to identify any individual in receipt of services without first obtaining the written consent of (i) the individual; or (ii) the individual’s parent or guardian prior to the release or disclosure of such information or document, as may be appropriate. Where the Agency is a municipality or other such institution as defined in the Municipal Freedom of Information and Protection of Privacy Act, R.S.O. 1990, c. M.56, as amended from time to time, the provisions of such Act with respect to the disclosure or release of information will apply.
