Holdco Approval Rights. Holdco (in its capacity as a Company Member) shall have the approval rights with respect to any matter as set forth in the Holdco LLC Agreement. Subject to such approval rights, the management of the Company shall be vested in the Board and the duly authorized Officers as set forth herein.
