Holdco governance. Prior to the Closing, the parties hereto shall take all necessary action to cause the board of directors of Holdco (the “Holdco Board”) and the committees thereof to be constituted, effective immediately following the Contribution and Unit Issuance, as set forth in the Stockholders Agreement.
