Holder Representations and Covenants. Each Holder and beneficial owner of a Security, by the purchase of such Security or beneficial interest therein, covenants and agrees that it will treat such Security as indebtedness for all purposes and will not take any action contrary to such characterization, including, without limitation, filing any tax returns or financial statements inconsistent therewith.
