Common use of Holder Representations Clause in Contracts

Holder Representations. Holder represents and warrants to, and covenants with, the Partnership as follows: (a) Holder is acquiring the Subject Units as an investment and not with a view to any sale or distribution of all or any portion thereof. Holder will hold the Subject Units subject to all provisions of the Securities Act of 1933, as amended (the “1933 Act”), and the rules and regulations promulgated thereunder, or any applicable state securities laws, and will not at any time make any sale, transfer or other disposition of such interest in contravention of the 1933 Act, such rules and regulations or applicable state securities laws. (b) Holder is a citizen of the United States of America and is eligible to hold an interest in oil and gas leases on federal lands, including offshore areas.

Holder will hold the Subject Profits Units subject to all provisions of the Securities Act of 1933, as amended (the “1933 Act”), and the rules and regulations promulgated thereunder, or any applicable state securities laws, and will not at any time make any sale, transfer or other disposition of such interest in contravention of the 1933 Act, such rules and regulations or applicable state securities laws.
