Common use of Holdings by Company Disregarded Clause in Contracts

Holdings by Company Disregarded. In determining whether Receiptholders holding the required number of Subscription Receipts are present at a meeting of Receiptholders for the purpose of determining a quorum or have concurred in any consent, waiver, resolution, Extraordinary Resolution, Receiptholders’ Request or other action under this Agreement, Subscription Receipts owned legally or beneficially by the Company or any Subsidiary of the Company shall be disregarded in accordance with the provisions of Section 10.6 hereof.

In determining whether Receiptholders holders holding the required number of Subscription Receipts are present at a meeting of Receiptholders holders for the purpose of determining a quorum or have concurred in any consent, waiver, extraordinary resolution, Extraordinary Resolution, Receiptholders’ Subscription Receiptholder’s Request or other action under this Agreement, Subscription Receipts owned legally or beneficially by the Company or any Subsidiary subsidiary or affiliate of the Company shall be disregarded in accordance with the provisions of Section 10.6 hereof11.9 and shall not be entitled to vote on any matter considered at such a meeting of holders.
