Holdings Equity Interests. Schedule 5.21 sets forth a true and accurate list as of the Effective Date of each holder of any Equity Interest or Equity Equivalent of Holdings, indicating the name of each such holder and the Equity Interest or Equity Equivalent held by each such Person. Except as set forth on Schedule 5.21, as of the Effective Date there are no shareholders agreements or other agreements pertaining to the Investor Group’s beneficial ownership of the common stock of Holdings, including any agreement that would restrict the Investor Group’s right to dispose of such common Equity Interests and/or its right to vote such common Equity Interests.
