HOMETOWN'S REPRESENTATIONS AND WARRANTIES. Each of the representations and warranties of Hometown contained in SECTIONS 3.2(A) (except as relates to qualification), (B) (except as relates to qualification), (C), (D), (E)(I) and (II), (Y) and (GG) of this Agreement shall be true and correct (except for inaccuracies that are de minimis) as of the date of this Agreement and as of the Closing Date as though made at and as of the Closing Date, and there shall not exist any inaccuracies in the representations and warranties of Hometown contained in this Agreement (including the representations and warranties set forth in the Sections designated above) such that the effect of such inaccuracies individually or in the aggregate has, or is reasonably likely to have, a Material Adverse Effect on Hometown.
