Common use of Honeywell's Representative Clause in Contracts

Honeywell's Representative. Honeywell’s Representative is authorised to administer this Subcontract and exercise any functions of Honeywell under this Subcontract. Honeywell’s Representative may at any time appoint a delegate or representative to perform any of Honeywell’s Representative’s functions under this Subcontract. Any delegate or representative will have such powers and functions as may be notified from time to time by Honeywell’s Representative to the Subcontractor. In exercising any functions under this Subcontract, Honeywell’s Representative may have regard to any determination, evaluation or direction given under the Main Contract, but is not bound to apply such determination, evaluation or direction and may exercise the relevant function in its sole and unfettered discretion, notwithstanding anything stated in the Main Contract. The Subcontractor must comply with any direction given by Honeywell or Honeywell’s Representative. If the Subcontractor fails to so comply within the time stated in the direction (or, where no time is stated, within a reasonable time), or where the Subcontractor otherwise fails to comply with a requirement under this Subcontract within the required time (or, where no time is stated, within a reasonable time), Honeywell’s Representative may give the Subcontractor written notice of the Subcontractor’s failure and require the Subcontractor to comply with the direction (or other requirement) within a stated time. If the Subcontractor then fails to comply with the direction (or other requirement) within the stated time, Honeywell may have the direction (or other requirement) carried out by another party and the cost thereby incurred by Honeywell will be a debt due and payable by the Subcontractor to Honeywell. Directions may be given orally but must as soon as practicable be confirmed in writing. The Subcontractor may request a written copy of an oral direction at any time.
