HOSTILE TRANSACTION PROVISION. (a) Notwithstanding anything elsewhere in this Agreement to the contrary, in the event of consummation of a "Hostile Transaction" (as defined below), the definition of "Good Reason" set forth in Section 3(c) hereof shall be substituted with the following definition, which shall apply for all purposes of this Agreement:
