HSR Act Approvals. All waiting periods, and any extensions thereof, under the HSR Act relating to the Mergers or any of the transactions contemplated hereby will have expired or terminated early. All other authorizations, consents, orders, declarations or approvals of, or filings and registrations with, any Governmental Entity that are required to effect the Mergers or any of the transactions contemplated hereby shall have been obtained, shall have been made or shall have occurred.
