HSR Act Approvals. All filings required to be made in connection with the transactions contemplated by this Agreement under the HSR Act shall have been made, the waiting period under the HSR Act shall have expired or been terminated, and no conditions to the transactions contemplated by this Agreement shall have been imposed or proposed by any governmental agency as part of obtaining such HSR Act approval.
