Common use of HSR ACT, ETC Clause in Contracts

HSR ACT, ETC. As promptly as practicable after the date of ------------ the execution of this Agreement, the Company and Parent shall file notifications under and in accordance with the HSR Act and the legal requirements of the European Community and any other foreign jurisdictions requiring notification in connection with the Merger and the transactions contemplated hereby. The Company and Parent shall respond as promptly as practicable to any inquires received from the Federal Trade Commission (the "FTC") and the Antitrust Division of the Department of Justice (the "ANTITRUST DIVISION") for additional information or documentation and shall respond as promptly as practicable to all inquires and requests received from any State Attorney General or other governmental authority (foreign or domestic) in connection with antitrust matters.
