Common use of HSR Filing Clause in Contracts

HSR Filing. On a date no earlier than [***] and no later than [***], both Parties will file their respective pre-merger notification and report forms (“HSR Forms”) with the United States Federal Trade Commission (“FTC”) and the United States Department of Justice (“DOJ”) pursuant to the HSR Act in connection with the Transactions to the extent applicable. Neither Party will request early termination of the initial HSR Act waiting period in their respective HSR Form.

HSR Filing. On a date no earlier than Both Parties shall promptly file following the Execution Date (and in any event, within [***] and no later than [***], both Parties will file Business Days after the Execution Date) their respective pre-merger notification and report forms (“HSR Forms”) with the United States Federal Trade Commission (“FTC”) and the United States Department of Justice (“DOJ”) pursuant to the HSR Act in connection with the Transactions to the extent applicable.
