Common use of HSR Filings Clause in Contracts

HSR Filings. In addition to and not in limitation of Seller's covenants contained in Section 4.01, Seller will (a) consult with Purchaser as to appropriate timing of filings and take promptly all actions necessary to make the filings required of Seller or its Affiliates under the HSR Act, (b) comply at the earliest practicable date with any request for additional information received by Seller or its Affiliates from the Federal Trade Commission or the Antitrust Division of the Department of Justice pursuant to the HSR Act and (c) cooperate with Purchaser in connection with Purchaser's filing under the HSR Act and in connection with resolving any investigation or other inquiry concerning the transactions contemplated by this Agreement commenced by either the Federal Trade Commission or the Antitrust Division of the Department of Justice or state attorneys general.

HSR Filings. In addition to and not in limitation of Sellerwithout limiting Purchaser's covenants contained in Section 4.015.01, Seller Purchaser will (a) consult with Purchaser Seller as to the appropriate timing of filings and take promptly all actions necessary to make the filings required of Seller Purchaser or its Affiliates under the HSR Act, (b) comply at the earliest practicable date with any request for additional information received by Seller Purchaser or its Affiliates from the Federal Trade Commission or the Antitrust Division of the Department of Justice pursuant to the HSR Act and (c) cooperate with Purchaser Seller in connection with PurchaserSeller's filing under the HSR Act and in connection with resolving any investigation or other inquiry concerning the transactions contemplated by this Agreement commenced by either the Federal Trade Commission or the Antitrust Division of the Department of Justice or state attorneys general.

In addition to and not in limitation of Parent's and Seller's covenants contained in Section SECTION 4.01, Parent and Seller will (a) consult with Purchaser as to appropriate timing of filings and take promptly all actions necessary to make the filings required of Seller or its Affiliates under the HSR Act, (b) comply at the earliest practicable date with any request for additional information received by Seller or its Affiliates from the Federal Trade Commission or the Antitrust Division of the Department of Justice pursuant to the HSR Act and (c) cooperate with Purchaser in connection with Purchaser's filing under the HSR Act and in connection with resolving any investigation or other inquiry concerning the transactions contemplated by this Agreement commenced by either the Federal Trade Commission or the Antitrust Division of the Department of Justice or state attorneys general.

In addition to and not in limitation of Sellerwithout limiting Purchaser's covenants contained in Section 4.01SECTION 5.01, Seller if required under applicable Law, Purchaser will (a) consult with Purchaser as to appropriate timing of filings and take promptly all actions necessary to make the filings required of Seller Purchaser or its Affiliates under the HSR Act, (b) comply at the earliest practicable date with any request for additional information received by Seller Purchaser or its Affiliates from the Federal Trade Commission or the Antitrust Division of the Department of Justice pursuant to the HSR Act and (c) cooperate with Purchaser Sellers in connection with Purchaser's Sellers' filing under the HSR Act and in connection with resolving any investigation or other regulatory inquiry concerning the transactions contemplated by this Agreement commenced by either the Federal Trade Commission or the Antitrust Division of the Department of Justice or state attorneys general.

HSR Filings. In addition to and not in limitation of such Seller's ’s covenants contained in Section 4.016.01, such Seller will, and will cause the Company to, (a) consult with Purchaser as to appropriate timing of filings and take promptly all actions necessary to make the filings required of such Seller or its Affiliates under the HSR Act, (b) comply at the earliest practicable date with any request for additional information received by such Seller or its Affiliates from the Federal Trade Commission or the Antitrust Division of the Department of Justice pursuant to the HSR Act and (c) cooperate with Purchaser in connection with Purchaser's ’s filing under the HSR Act and in connection with resolving any investigation or other inquiry concerning the transactions contemplated by this Agreement commenced by either the Federal Trade Commission or the Antitrust Division of the Department of Justice or state attorneys general.

In addition to and not in limitation of Seller's without limiting Buyer’s covenants contained in Section 4.016.1, Seller Buyer will (a) consult with Purchaser as to appropriate timing of filings and promptly as practicable after the date hereof take promptly all actions necessary to make the filings required of Seller Buyer or its Affiliates under the HSR Act, (b) comply at the earliest practicable date with any request for additional information received by Seller Buyer or its Affiliates from the Federal Trade Commission or the Antitrust Division of the Department of Justice pursuant to the HSR Act and (c) cooperate with Purchaser the Company in connection with Purchaser's the Company’s filing under the HSR Act and in connection with resolving any investigation or other inquiry concerning the transactions contemplated by this Agreement hereby commenced by either the Federal Trade Commission or the Antitrust Division of the Department of Justice or state attorneys general.

In addition to and not in limitation of Seller's covenants contained in Section SECTION 4.01, Seller will (a) consult with Purchaser as to appropriate timing of filings and take promptly all actions necessary to make the filings required of Seller or its Affiliates under the HSR Act, (b) comply at the earliest practicable date with any request for additional information received by Seller or its Affiliates from the Federal Trade Commission or the Antitrust Division of the Department of Justice pursuant to the HSR Act and (c) cooperate with Purchaser in connection with Purchaser's filing under the HSR Act and in connection with resolving any investigation or other inquiry concerning the transactions contemplated by this Agreement commenced by either the Federal Trade Commission or the Antitrust Division of the Department of Justice or state attorneys general.

In addition to and not in limitation of Seller's without limiting the covenants contained in Section 4.01, Seller Sellers will, and will cause their respective Subsidiaries to, (a) consult with Purchaser as to appropriate timing of filings and take promptly all actions necessary to make the filings required of Seller Sellers or its their respective Affiliates under the HSR Act, (b) comply at the earliest practicable date with any request for additional information received by Seller Sellers or its their respective Affiliates from the Federal Trade Commission ("FTC") or the Antitrust Division of the Department of Justice ("DOJ") pursuant to the HSR Act Act, and (c) cooperate with Purchaser in connection with Purchaser's filing under the HSR Act and in connection with resolving any investigation or other inquiry concerning the transactions contemplated by this Agreement commenced by either the Federal Trade Commission FTC or the Antitrust Division of the Department of Justice DOJ or state attorneys general.

HSR Filings. In addition to and not in limitation of such Seller's covenants contained in Section 4.015.01, such Seller will (a) consult with Purchaser as to appropriate timing of filings and take promptly all actions necessary to make the filings required of such Seller or its Affiliates under the HSR Act, (b) comply at the earliest practicable date with any request for additional information received by such Seller or its Affiliates from the Federal Trade Commission or the Antitrust Division of the Department of Justice pursuant to the HSR Act and (c) cooperate with Purchaser in connection with Purchaser's filing under the HSR Act and in connection with resolving any investigation or other inquiry concerning the transactions contemplated by this Agreement commenced by either the Federal Trade Commission or the Antitrust Division of the Department of Justice or state attorneys general.

In addition to and not in limitation of Seller's Sellers' covenants contained in Section 4.01, Seller Sellers will (a) consult with Purchaser as to appropriate timing of filings and take promptly all actions necessary to make the filings required of Seller Sellers or its their Affiliates under the HSR Act, (b) comply at the earliest practicable date with any request for additional information received by Seller Sellers or its their Affiliates from the Federal Trade Commission or the Antitrust Division of the Department of Justice pursuant to the HSR Act and (c) cooperate with Purchaser in connection with Purchaser's filing under the HSR Act and in connection with resolving any investigation or other inquiry concerning the transactions contemplated by this Agreement commenced by either the Federal Trade Commission or the Antitrust Division of the Department of Justice or state attorneys general.

HSR Filings. In addition to and not in limitation of Seller's covenants contained in Section 4.01Sections 5.01 and 5.09, from and after the Selection of Purchaser, Seller will (ai) consult with Purchaser as to appropriate timing of filings and take promptly all actions necessary to make the filings required of Seller or its Affiliates under the HSR Act, (bii) comply at the earliest practicable date with any request for additional information received by made to Seller or its Affiliates from by the Federal Trade Commission FTC or the Antitrust Division of the Department of Justice DOJ for additional information pursuant to the HSR Act and (ciii) cooperate with Purchaser in connection with Purchaser's filing under the HSR Act and in connection with resolving any investigation or other inquiry concerning the transactions contemplated by this Agreement commenced by either the Federal Trade Commission FTC or the Antitrust Division of the Department of Justice DOJ or state attorneys general.

HSR Filings. In addition to and not in limitation of Seller's Sellers' covenants contained in Section 4.01, Seller Sellers will (a) consult with Purchaser as to appropriate timing of filings and take promptly all actions necessary to make the filings required of Seller Sellers or its their Affiliates under the HSR Act, (b) comply at the earliest practicable date with any request for additional information received by Seller Sellers or its their Affiliates from the Federal Trade Commission or the Antitrust Division of the Department of Justice pursuant to the HSR Act and (c) reasonably cooperate with Purchaser in connection with Purchaser's filing under the HSR Act and in connection with resolving any investigation or other inquiry concerning the transactions contemplated by this Agreement commenced by either the Federal Trade Commission or the Antitrust Division of the Department of Justice or state attorneys general.

HSR Filings. In addition to and not in limitation of Seller's the Seller Parties’ covenants contained in Section 4.014.01 above, the Seller Parties will (a) consult with Purchaser as to appropriate timing of filings and take promptly all actions necessary to make the filings required of Seller it or its Affiliates under the HSR Act, (b) comply at the earliest practicable date with any request for additional information received by Seller it or its Affiliates from the Federal Trade Commission or the Antitrust Division of the Department of Justice pursuant to the HSR Act and Act, (c) cooperate with Purchaser in connection with Purchaser's ’s filing under the HSR Act and in connection with resolving any investigation or other inquiry concerning the transactions contemplated by this Agreement commenced by either the Federal Trade Commission or the Antitrust Division of the Department of Justice or state attorneys generalgeneral and (d) upon Purchaser’s request, request early termination of the waiting period with respect to the Sale under the HSR Act.

HSR Filings. In addition to and not in limitation of Seller's ’s and Parent’s covenants contained in Section 4.01, Seller and Parent will (a) consult with Purchaser as to appropriate timing of filings and take promptly all actions necessary to make the filings required of Seller Seller, Parent or its their Affiliates under the HSR Act, (b) comply at the earliest practicable date with any request for additional information received by Seller Seller, Parent or its their Affiliates from the Federal Trade Commission or the Antitrust Division of the Department of Justice pursuant to the HSR Act and (c) reasonably cooperate with Purchaser in connection with Purchaser's ’s filing under the HSR Act and in connection with resolving any investigation or other inquiry concerning the transactions contemplated by this Agreement commenced by either the Federal Trade Commission or the Antitrust Division of the Department of Justice or state attorneys general.

HSR Filings. In addition to and not in limitation of Seller's ’s covenants contained in Section 4.015.1, Seller will (a) consult with Purchaser as to appropriate timing of filings and promptly as practicable after the date hereof take promptly all actions necessary to make the filings required of Seller or its Affiliates under the HSR Act, (b) comply at the earliest practicable date with any request for additional information received by Seller or its Affiliates from the Federal Trade Commission or the Antitrust Division of the Department of Justice pursuant to the HSR Act and (c) cooperate with Purchaser Buyer in connection with Purchaser's Buyer’s filing under the HSR Act and in connection with resolving any investigation or other inquiry concerning the transactions contemplated by this Agreement hereby commenced by either the Federal Trade Commission or the Antitrust Division of the Department of Justice or state attorneys general.

HSR Filings. In addition to and not in limitation of Seller's without limiting Sellers’ covenants contained in Section 4.015.1, Seller Sellers will (a) consult with Purchaser as to appropriate timing of filings and promptly as practicable after the date hereof (but in any event within ten (10) business days) take promptly all actions necessary to make the filings required of Seller Sellers or its Affiliates under the HSR Act, (b) comply at the earliest practicable date with any request for additional information received by Seller Sellers or its respective Affiliates from the Federal Trade Commission or the Antitrust Division of the Department of Justice pursuant to the HSR Act and (c) cooperate with Purchaser Buyers in connection with Purchaser's Buyers’ filing under the HSR Act and in connection with resolving any investigation or other inquiry concerning the transactions contemplated by this Agreement hereby commenced by either the Federal Trade Commission or the Antitrust Division of the Department of Justice or state attorneys general.

HSR Filings. In addition to and not in limitation of Seller's ’ covenants contained in Section 4.014.01 above, Seller will (a) consult with Purchaser as to appropriate timing of filings and take promptly all actions necessary to make the filings required of Seller it or its Affiliates under the HSR Act, (b) comply at the earliest practicable date with any request for additional information received by Seller it or its Affiliates from the Federal Trade Commission or the Antitrust Division of the Department of Justice pursuant to the HSR Act and Act, (c) cooperate with Purchaser in connection with Purchaser's ’s filing under the HSR Act and in connection with resolving any investigation or other inquiry concerning the transactions contemplated by this Agreement commenced by either the Federal Trade Commission or the Antitrust Division of the Department of Justice or state attorneys generalgeneral and (d) upon Purchaser’s request, request early termination of the waiting period with respect to the Sale under the HSR Act.

In addition to and not in limitation of Seller's Purchaser’s covenants contained in Section 4.015.01 above, Seller Purchaser will (a) consult with Purchaser as to appropriate timing of filings and take promptly all actions necessary to make the filings required of Seller it or its Affiliates under the HSR Act, (b) comply at the earliest practicable date with any request for additional information received by Seller it or its Affiliates from the Federal Trade Commission or the Antitrust Division of the Department of Justice pursuant to the HSR Act and (c) cooperate with Purchaser Seller in connection with Purchaser's Seller’ filing under the HSR Act and in connection with resolving any investigation or other inquiry concerning the transactions contemplated by this Agreement commenced by either the Federal Trade Commission or the Antitrust Division of the Department of Justice or state attorneys general.
