Common use of HSR Filings Clause in Contracts

HSR Filings. In addition to and not in limitation of Seller’s and Parent’s covenants contained in Section 4.01, Seller and Parent will (a) take promptly all actions necessary to make the filings required of Seller, Parent or their Affiliates under the HSR Act, (b) comply at the earliest practicable date with any request for additional information received by Seller, Parent or their Affiliates from the Federal Trade Commission or the Antitrust Division of the Department of Justice pursuant to the HSR Act and (c) reasonably cooperate with Purchaser in connection with Purchaser’s filing under the HSR Act and in connection with resolving any investigation or other inquiry concerning the transactions contemplated by this Agreement commenced by either the Federal Trade Commission or the Antitrust Division of the Department of Justice or state attorneys general.

HSR Filings. In addition to and not in limitation of Sellerwithout limiting Parent’s and ParentMerger Sub’s covenants contained in Section 4.017.1, Seller Parent and Parent Merger Sub will (ai) take promptly all actions necessary to make the filings required of Seller, Parent or their its Affiliates under the HSR Act, (bii) comply at the earliest practicable date with any request for additional information received by SellerParent, Parent Merger Sub or their respective Affiliates from the Federal Trade Commission or the Antitrust Division of the Department of Justice pursuant to the HSR Act and (ciii) reasonably cooperate with Purchaser the Company in connection with Purchaserthe Company’s filing under the HSR Act and in connection with resolving any investigation or other regulatory inquiry concerning the transactions contemplated by this Agreement commenced by either the Federal Trade Commission or the Antitrust Division of the Department of Justice or state attorneys general.

In addition to and not in limitation of Seller’s and Parent’s 's covenants contained in Section SECTION 4.01, Seller and Parent will (a) take promptly all actions necessary to make the filings required of Seller, Parent Seller or their its Affiliates under the HSR Act, (b) comply at the earliest practicable date with any request for additional information received by Seller, Parent Seller or their its Affiliates from the Federal Trade Commission or the Antitrust Division of the Department of Justice pursuant to the HSR Act and (c) reasonably cooperate with Purchaser in connection with Purchaser’s 's filing under the HSR Act and in connection with resolving any investigation or other inquiry concerning the transactions contemplated by this Agreement commenced by either the Federal Trade Commission or the Antitrust Division of the Department of Justice or state attorneys general.

In addition to and not in limitation of Seller’s the covenants of Triarc and Parent’s covenants Parent contained in Section 4.015.01, Seller and Parent will (a) take promptly all actions necessary to make the filings required of Seller, Parent or their its Affiliates under the HSR Act, (b) comply at the earliest practicable date with any request for additional information received by Seller, Parent or their any of its Affiliates from the Federal Trade Commission or the Antitrust Division of the Department of Justice pursuant to the HSR Act and (c) reasonably cooperate with Purchaser in connection with Purchaser’s 's filing under the HSR Act and in connection with resolving any investigation or other inquiry concerning the transactions contemplated by this Agreement commenced by either the Federal Trade Commission or the Antitrust Division of the Department of Justice or state attorneys general.
