Common use of HSR Clause in Contracts

HSR. All applicable waiting periods under the HSR Act shall have expired without any indication of the Antitrust Division or the FTC that either of them intends to challenge the transactions contemplated hereby, or, if any such challenge or investigation is made or commenced, such challenge or investigation shall have been concluded in a way which lawfully permits the transactions contemplated hereby in all material respects.

HSR. All applicable waiting periods under the HSR Act (as defined in Section 10.14 below) shall have expired without any indication of by the Antitrust Division (as defined in Section 10.14 below) or the FTC (as defined in Section 10.14 below) that either of them intends to challenge the transactions contemplated hereby, hereby or, if any such challenge or investigation is made or commenced, such challenge or investigation shall have been concluded in a way which lawfully permits the transactions contemplated hereby in all material respects.

All applicable waiting periods periods, if any, under the HSR Act (as defined in Section 10.16 below) shall have expired without any indication of by the Antitrust Division (as defined in Section 10.16 below) or the FTC (as defined in Section 10.16 below) that either of them intends to challenge the transactions contemplated hereby, hereby or, if any such challenge or investigation is made or commenced, there shall have occurred the conclusion of such challenge or investigation shall have been concluded in a way which lawfully permits the transactions contemplated hereby in all material respects.
