The Company shall from time to time instruct the Shareholder Servicing Agent in writing as to, and the Company and the Shareholder Servicing Agent shall periodically review, the records to be maintained and the procedures to be followed by the Shareholder Servicing Agent in complying with the foregoing Sections 10.1 and 10.2 and Section 8 to the extent it relates to record-keeping required under federal securities laws and regulations.
