Identified Events of Default and Anticipated Events of Default Sample Clauses

Identified Events of Default and Anticipated Events of Default. The Company acknowledges and agrees that the Identified Events of Default have occurred or may occur under the Securities Purchase Agreement and that the Holders are entitled to exercise their respective rights and remedies with respect to such Identified Events of Default under the Financing Agreements and applicable law. The Company further acknowledges and agrees that the Holders have no obligation: (i) to forbear from the exercise of their respective rights and remedies, except as specifically set forth herein, or (ii) to make additional loans or advance any funds to the Company under the Financing Agreements or applicable law. The Company further acknowledges and agrees that the fact that the Holders have not elected to take any of the actions described in the Financing Agreements is not a waiver of the Holders’ respective rights to do so at any time in the future, except as specifically provided herein.

  • Notice of Events of Default or Unmatured Events of Default A statement of a Financial Officer of the Servicer setting forth details of any Event of Default or Unmatured Event of Default that has occurred and is continuing and the action which the Servicer proposes to take with respect thereto.

  • Waiver of Defaults and Events of Default (a) The Noteholders of a majority of the Note Balance of the Controlling Class may waive any Default or Event of Default, except an Event of Default (i) in the payment of principal of or interest on any of the Notes (other than an Event of Default relating to failure to pay principal due only by reason of acceleration) or (ii) in respect of a covenant or provision of this Indenture that cannot be amended, supplemented or modified without the consent of all Noteholders.
