Common use of Identity of Recipient of NCC Common Stock Clause in Contracts

Identity of Recipient of NCC Common Stock. In the event that the delivery of the consideration provided for in this Agreement is to be made to a Person other than the Person in whose name any PCB Certificate surrendered is registered, such PCB Certificate so surrendered shall be properly endorsed (or accompanied by an appropriate instrument of transfer), with the signature(s) appropriately guaranteed, and otherwise in proper form for transfer, and the Person requesting such delivery shall pay any transfer or other taxes required by reason of the delivery to a Person other than the registered holder of such PCB Certificate surrendered or establish to the satisfaction of NCC that such tax has been paid or is not applicable.

Identity of Recipient of NCC Common Stock. In the event that the delivery of the consideration provided for in this Agreement is to be made to a Person other than the Person in whose name any PCB Certificate certificate representing shares of PBI Common Stock surrendered is registered, such PCB Certificate certificate so surrendered shall be properly endorsed (or accompanied by an appropriate instrument of transfer), with the signature(s) appropriately guaranteed, and otherwise in proper form for transfer, and the Person requesting such delivery shall pay any transfer or other taxes required by reason of the delivery to a Person other than the registered holder of such PCB Certificate certificate surrendered or establish to the satisfaction of NCC that such tax has been paid or is not applicable.

In the event that the delivery of the consideration provided for in this Agreement is to be made to a Person other than the Person in whose name any PCB Certificate certificate representing shares of United Common Stock surrendered is registered, such PCB Certificate certificate so surrendered shall be properly endorsed (or accompanied by an appropriate instrument of transfer), with the signature(s) appropriately guaranteed, and otherwise in proper form for transfer, and the Person requesting such delivery shall pay any transfer or other taxes required by reason of the delivery to a Person other than the registered holder of such PCB Certificate certificate surrendered or establish to the satisfaction of NCC that such tax has been paid or is not applicable.

In the event that the delivery of the consideration provided for in this Agreement is to be made to a Person other than the Person in whose name any PCB Certificate certificate representing shares of RBF Common Stock surrendered is registered, such PCB Certificate certificate so surrendered shall be properly endorsed (or accompanied by an appropriate instrument of transfer), with the signature(s) appropriately guaranteed, and otherwise in proper form for transfer, and the Person requesting such delivery shall pay any transfer or other taxes required by reason of the delivery to a Person other than the registered holder of such PCB Certificate certificate surrendered or establish to the satisfaction of NCC that such tax has been paid or is not applicable.
