IHK and the. Company acknowledge that the consummation of the Offer shall constitute a "Change in Control" for purposes of the Company Stock Option Plan. (a) IHK will consent to the Company's entering into a new or amended employment agreement with Xxxxxxx X. Xxxxxxx III on the terms agreed to by IHK, Merger Sub and the Company. (b) IHK intends to consent to the Company's entering into new or amended employment agreements as soon as practicable following the date hereof with the Continuing Employees agreed to by IHK and the Company.
