Impact of Award on Other Benefits of Participant. Neither the contingent value of the Restricted Stock Units nor the value of any Plan Shares issued to Participant under this Agreement shall be includable as compensation or earnings for purposes of any other benefit plan offered by the Bank, the Corporation or any Affiliate of either, except to the extent of any qualified employee benefit plan which specifically provides that any such value shall be included as compensation or earnings for purposes of such plan.
