Improper Receipt of Payment. From and after the Closing Date, (i) Sellers shall promptly forward to Buyer any and all payments received by Sellers from customers or any other Persons, which constitute part of the Acquired Assets and (ii) Buyer and ISG shall promptly forward to Sellers any and all payments received by Buyer or ISG from customers or any other Persons, which constitute part of the Excluded Assets.

Improper Receipt of Payment. From and after the Closing Date, (i) Sellers shall (A) deem held in trust any and all payments received by Sellers from customers or any other Persons (including in connection with Section 5.6) that constitute part of the Acquired Assets and (B) promptly forward, or instruct any bank receiving such payments on behalf of any Seller to forward, to Buyer any such payments and (ii) Buyer shall promptly forward to Sellers any and all payments received by Buyer from customers or any other Persons that constitute part of the Excluded Assets.

The Executive shall not look to the owners of the Company for the satisfaction of any obligations of the Company under this Agreement.

  • Amount of Payment The “Early Termination Payment” payable to a Member pursuant to Section 4.3(a) shall equal the present value, discounted at the Agreed Rate and determined as of the Early Termination Reference Date, of all Tax Benefit Payments (other than any Tax Benefit Payments in respect of Taxable Years ending prior to the Early Termination Effective Date) that would be required to be paid by the Corporation to such Member, beginning from the Early Termination Effective Date and using the Valuation Assumptions. For the avoidance of doubt, an Early Termination Payment shall be made to each Member in accordance with this Agreement, regardless of whether such Member has Exchanged all of its Units as of the Early Termination Effective Date.
