Improper Transfer. In the event of any purported or attempted Transfer by a Shareholder that does not comply with the provisions of this Agreement, such attempted Transfer shall be null and void ab initio and will confer no rights whatsoever on the purported Transferee as against the Company or any other Shareholder of the Company, including the Shareholders, and the Company shall not record such Transfer on its books or treat any purported Transferee of such Equity Securities as the owner of such Equity Securities for any purpose.

In the event of Any attempt to transfer any purported or attempted Transfer by a Shareholder that does not comply Equity Securities other than in accordance with the provisions of this Agreement, such attempted Transfer Agreement shall be null and void ab initio and will confer no rights whatsoever on the purported Transferee as against the Company right, title or any other Shareholder of the Company, including the Shareholders, and the Company shall not record such Transfer on its books interest in or treat any purported Transferee of to such Equity Securities as shall be transferred to the owner of purported transferee, buyer, donee, assignee or encumbrance holder. The Company will not give, and will not permit the Company’s transfer agent to give, any effect to any such Equity Securities for any purposeattempted transfer on its records.
