In-House Operations. After the Effective Date but no later than ninety (90) days after the Effective Date, Tower and FNB shall, subject to applicable legal requirements, cooperate with each other, and in the interest of an orderly, cost-effective consolidation of operations and in the sole determination of Tower, terminate any in-house back office, support, processing or other operational activities or services of FNB or any FNB Subsidiary, including without limitation accounting, loan processing and deposit services, and substitute a contract or arrangement between Tower or any Tower Subsidiary (as Tower shall select) and FNB for the provision of similar services to FNB or any FNB Subsidiary.
In-House Operations. National Penn and TF Financial shall, subject to applicable legal requirements, (i) cooperate with each other, and (ii) if mutually agreed in the interest of an orderly, cost-effective consolidation of operations and competitive market issues, terminate any in-house back office, support, processing or other operational activities or services of TF Financial or any TF Financial Subsidiary, including without limitation accounting, loan processing and deposit services, and substitute a contract or arrangement between National Penn or any National Penn Subsidiary (as National Penn shall select) and TF Financial for the provision of similar services to TF Financial or any TF Financial Subsidiary on terms and conditions mutually acceptable to TF Financial and National Penn.
In-House Operations. CMTY and PRFS shall, subject to applicable legal requirements, cooperate with each other in an orderly, cost-effective consolidation of operations.
In-House Operations. CMTY and BFC shall, subject to applicable legal requirements, cooperate with each other in an orderly, cost-effective consolidation of operations.
In-House Operations. OLB and Holdings shall cooperate with each other in the interest of an orderly, cost-effective consolidation of operations, and to the extent deemed commercially reasonable, shall terminate any in-house back office, support, processing or other operational activities or services of Holdings or any Holdings Subsidiary, including without limitation accounting, loan processing and deposit services, and substitute a contract or arrangement between OLB or any OLB Subsidiary (as OLB shall select) and Holdings for the provision of similar services to Holdings or any Holdings Subsidiary.
In-House Operations. OLB and BYBK shall cooperate with each other in the interest of an orderly, cost-effective consolidation of operations.
In-House Operations. NPB and PFI shall, subject to applicable legal requirements, cooperate with each other, and if mutually agreed in the interest of an orderly, cost-effective consolidation of operations, terminate any in-house back office, support, processing or other operational activities or services of PFI or any PFI Subsidiary, including without limitation accounting, loan processing and deposit services, and substitute a contract or arrangement between NPB or any NPB Subsidiary (as NPB shall select) and PFI for the provision of similar services to PFI or any PFI Subsidiary on terms and conditions mutually acceptable to PFI and NPB.
In-House Operations. NPB and NFC shall, subject to applicable legal requirements, (i) cooperate with each other, and (ii) if mutually agreed in the interest of an orderly, cost-effective consolidation of operations and competitive market issues, terminate any in-house back office, support, processing or other operational activities or services of NFC or any NFC Subsidiary, including without limitation accounting, loan processing and deposit services, and substitute a contract or arrangement between NPB or any NPB Subsidiary (as NPB shall select) and NFC for the provision of similar services to NFC or any NFC Subsidiary on terms and conditions mutually acceptable to NFC and XXX.
In-House Operations. NPB and HomeTowne shall, subject to applicable legal requirements, cooperate with each other, and if mutually agreed in the interest of an orderly, cost-effective consolidation of operations, terminate any in-house back office, support, processing or other operational activities or services of HomeTowne, including without limitation accounting, loan processing and deposit services, and substitute a contract or arrangement between NPB or any NPB Subsidiary (as NPB shall select) and HomeTowne for the provision of similar services to HomeTowne on terms and conditions mutually acceptable to HomeTowne and NPB.
In-House Operations. Parent and Suburban shall, subject to applicable legal requirements, cooperate with each other, and if mutually agreed in the interest of an orderly, cost-effective consolidation of certain business operations, terminate any in-house back office, support, processing or other operational activities or services of Suburban, including without limitation accounting, loan processing and deposit services, and substitute a contract or arrangement between Parent and Suburban for the provision of similar services to Suburban on terms and conditions mutually acceptable to Suburban and Parent, provided, however, that nothing in this clause (vii) shall require Suburban to terminate or substitute prior to the Closing any agreement, arrangement, activity or service referred to above.
