Common use of Incentive Units and Investor Units Clause in Contracts

Incentive Units and Investor Units. (i)In the event of termination of Recipient’s engagement with the Company for any reason other than by the Company for Cause, the Company shall have the right, but not the obligation, pursuant to the procedures described in Section 1.5 below, to purchase all or any portion of Recipient’s Covered Units at such Units’ Fair Market Value as of the last day of the calendar quarter immediately preceding the date of such termination of service.
