Incentives Payments. I state that I shall not be in breach of this Agreement to receive Incentives pursuant to the Compensation Plan.
Incentives Payments. Any payments of Incentives (as defined in Section 41 of the Lease) received by Seller or its contractor or any affiliate of Seller on or before Closing that are not reflected in the Purchase Price as computed in Exhibit 2.1 shall be deducted from the Purchase Price as a credit to Purchaser. Further, should Seller receive any such payment regarding Incentives after Closing, Seller shall promptly deliver same to Purchaser.
