Incorporation and Corporate Power of Vendor. The Vendor is a corporation duly incorporated, organized and existing under the laws of the State of Delaware. The Vendor has the corporate power, authority and capacity to execute and deliver this Agreement and all other agreements and instruments to be executed by it as contemplated herein and to perform its obligations hereunder and under all such other agreements and instruments.
