Incorporation and Power. The Company is a Cayman Islands exempted company and is qualified to do business in every jurisdiction in which the failure to so qualify would reasonably be expected to have a material adverse effect on the financial condition, operating results or assets of the Company. The Company possesses all requisite power and authority necessary to carry out the transactions contemplated by this Agreement.
Incorporation and Power. (a) With respect to Sponsor only, Sponsor (i) is a limited liability company duly organized, validly existing and in good standing under the laws of the State of Delaware, and has all requisite limited liability company power and authority and all authorizations, licenses and permits necessary to own, lease and operate its properties and to carry on its businesses as now conducted, and (ii) is not in breach of Sponsor’s Organizational Documents.
Incorporation and Power. The Purchaser is a corporation duly incorporated under the laws of the jurisdiction of its incorporation and is duly organized, validly subsisting and in good standing under such laws.
Incorporation and Power. Buyer is a corporation duly incorporated, validly existing and in good standing under the laws of the State of Minnesota, with the requisite corporate power and authority to enter into this Agreement and perform its obligations hereunder.
Incorporation and Power. Schelfhout is a corporation duly incorporated, organized, validly subsisting and in good standing under the laws of Belgium. Schelfhout is duly licensed, registered and qualified to do business and is in good standing under the laws of Belgium. Schelfhout has the full corporate power and authority to carry on the Business and to own, lease and operate the Assets and the Business as now carried on and owned, leased and operated by it.
Incorporation and Power. The Registrant is a corporation duly incorporated under the laws of the jurisdiction of its incorporation and is duly organized, validly subsisting and in good standing under such laws.

Purchaser is a corporation duly incorporated, validly existing and in good standing under the laws of the State of Delaware, and has all requisite corporate power and authority and all authorizations, licenses and permits necessary to own, lease and operate its properties and to carry on its businesses as now conducted. The Vendor is a corporation duly incorporated under the laws of the jurisdiction of its incorporation and is duly organized, validly subsisting and in good standing under such laws, has the corporate power and authority and is qualified to own, lease, operate, otherwise hold and dispose of its properties and assets wherever such qualification is material to the Business and has the corporate power and authority to carry on the Business as presently carried on by it.
Incorporation and Power. XXXX is a corporation duly incorporated under the laws of the jurisdiction of its incorporation and is duly organized, validly subsisting and in good standing under such laws.
