Common use of Incorporation by Reference of Trust Indenture Act; Conflict with Trust Indenture Act Clause in Contracts

Incorporation by Reference of Trust Indenture Act; Conflict with Trust Indenture Act. The Company hereby voluntarily subjects this Second Supplemental Indenture to the provisions of the TIA which are mandatory for indentures qualified thereunder. Such mandatory provisions are incorporated by reference and made a part of this Second Supplemental Indenture. If any provisions in the body of this Second Supplemental Indenture limits, qualifies or conflicts with a provision of the TIA which is required under the TIA to be a part of and govern indentures qualified thereunder, the latter provision shall control. If any provision of this Second Supplemental Indenture modifies or excludes any provision of the TIA which may be so modified or excluded, the latter provision shall be deemed to apply to this Second Supplemental Indenture as so modified or to be excluded, as the case may be.

If any provision of this Second Third Supplemental Indenture modifies or excludes any provision of the TIA which may be so modified or excluded, the latter provision shall be deemed to apply to this Second Third Supplemental Indenture as so modified or to be excluded, as the case may be.
