Common use of Incorporation of Exhibit C Clause in Contracts

Incorporation of Exhibit C. Each and all of the provisions of Exhibit C are incorporated herein and shall constitute part of this Agreement. Exhibit C provides for, among other matters, the maintenance of capital accounts, the allocation of profits and losses, the maintenance of books and records, and, if required, the tax withholding of distributions. The Company shall be operated as a partnership solely for state and federal income tax purposes.
