Incorporation of JV Co 1 and Intermediate Companies. (a) JV Co 1. The Shareholders have jointly incorporated Shihua DC Investment Holdings Limited (“JV Co 1”) to develop and operate the Existing Projects via PropCo 1 (as defined below). As at the date hereof, (i) the authorized share capital of JV Co 1 shall be US$5,000, divided into 255,000,000 Class A shares of a nominal or par value of US$0.00001 each and 245,000,000 Class B shares of a nominal or par value of US$0.00001 each; (ii) the issued and outstanding shares of JV Co 1 are 51,755,456 Class A shares and 49,725,829 Class B shares; and (iii) Vianet holds 51,755,456 Class A shares representing 100% of the issued and outstanding Class A shares, and the Investor holds 49,725,829 Class B shares representing 100% of the issued and outstanding Class B shares.
