Common use of Incorporation of Representations and Warranties by Reference Clause in Contracts

Incorporation of Representations and Warranties by Reference. The Cooperative hereby makes to the Bank the same representations and warranties as are made by it in the Trust Agreement and each other Related Document, which representations and warranties, as well as the related defined terms contained therein, are hereby incorporated by reference with the same effect as if each and every such representation and warranty and defined term were set forth herein in its entirety. No amendment to any such representation and warranty or defined term made pursuant to any such Related Document shall be effective to amend such representation and warranty or defined term as incorporated by reference herein without the prior consent of the Bank.

Incorporation of Representations and Warranties by Reference. The Cooperative Authority hereby makes to the Bank the same representations and warranties as are made by the Authority in each Related Document to which it in the Trust Agreement and each other Related Documentis a party, which representations and warranties, as well as the related defined terms contained therein, are hereby incorporated by reference for the benefit of the Bank with the same effect as if each and every such representation and warranty and defined term were set forth herein in its entirety. No amendment to any such representation representations and warranty warranties or defined term terms made pursuant to any such Related Document shall be effective to amend such representation representations and warranty or warranties and defined term terms as incorporated by reference herein without the prior written consent of the Bank.

The Cooperative Issuer hereby makes to the Bank the same representations and warranties as are made by it the Issuer in the Trust Agreement and each other Related Financing Document, which representations and warranties, as well as the related defined terms contained therein, are hereby incorporated by reference for the benefit of the Bank with the same effect as if each and every such representation and warranty and defined term were set forth herein in its entirety. No amendment to any such representation representations and warranty warranties or defined term terms made pursuant to any such Related Financing Document shall be effective to amend such representation representations and warranty or warranties and defined term terms as incorporated by reference herein without the prior written consent of the Bank.

The Cooperative Agency hereby makes to the Bank the same representations and warranties as are made by it the Agency in the Trust Agreement and each other Related Loan Document, which representations and warranties, as well as the related defined terms contained therein, are hereby incorporated by reference for the benefit of the Bank with the same effect as if each and every such representation and warranty and defined term were set forth herein in its entirety. No amendment to any or waiver of such representation representations and warranty warranties or defined term terms made pursuant to any such Related Loan Document shall be effective to amend such representation representations and warranty or warranties and defined term terms as incorporated by reference herein without the prior written consent of the Bank.

The Cooperative Borrower hereby makes to the Bank the same representations and warranties as are made by it the Borrower and set forth in the Trust Agreement Bank Documents and each other Related DocumentBond Documents, which representations and warranties, as well as the related defined terms contained therein, are hereby incorporated by reference with the same effect as if each and every such representation and warranty and defined term were set forth herein in its entirety. No amendment to any such representation representations and warranty warranties or defined term terms made pursuant to any such Related Document thereto shall be effective to amend such representation representations and warranty or warranties and defined term terms as incorporated by reference herein without the prior consent of the Bank.
