Common use of Incorporation of Representations and Warranties by Reference Clause in Contracts

Incorporation of Representations and Warranties by Reference. The City hereby makes to the Bank the same representations and warranties made by the City in each Program Document, which representations and warranties, as well as the related defined terms contained therein, are hereby incorporated by reference for the benefit of the Bank with the same effect as if each and every such representation and warranty and defined term were set forth herein in its entirety (except to the extent that such representations and warranties expressly relate to an earlier date and if such representations and warranties expressly relate to an earlier date, such representations and warranties shall be true and correct as of such date). No amendment to such representations and warranties or defined terms made pursuant to any Program Document shall be effective to amend such representations and warranties and defined terms as incorporated by reference herein without the prior written consent of the Bank.
