Incorrect Representations. If any representation or warranty made to CIBC by the Borrower shall prove to have been incorrect in any material respect when so made or deemed to have been repeated as herein provided and, as a result of such incorrect representation or warranty, there has been a Material Adverse Change or such incorrect representation or warranty has a Material Adverse Effect.
