Incremental Facilities Financing Commitment Agreements. Arrangements for the issuance of debt securities by the Partnership, the proceeds of which are sufficient, together with the capital contributions, if any, to be made by the Partners pursuant to the Incremental Facilities Commitment Agreement, in the opinion of the Management COMMITTEE, to complete construction of the Incremental Facilities based upon the then Estimated Cost of the Incremental Facilities.
